1. Agreement to Terms

These Terms & Conditions ("Terms") govern access to and use of the Superextra website and platform (collectively, the "Service"), operated by PP2 Studio sp. z o.o., a company registered in Poland (ul. Żywiczna 9, 81-604 Gdynia; KRS 0001182088; "we", "our", or "us"). Full company details are in our Legal Notice.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Business use only

The Service is intended for businesses and for the people who use it on their behalf. By using the Service, you confirm that you are acting in a business or professional capacity (as an entrepreneur), and not as a consumer. You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you use the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

3. Access

Some features may use browser-based anonymous access or account-based access if enabled. You agree to:

• Provide accurate, current, and complete information when requested.
• Maintain the security and confidentiality of any access credentials issued to you.
• Notify us immediately of any unauthorized use of your access.
• Accept responsibility for activities submitted through your browser session or account.

We reserve the right to suspend or terminate access that violates these Terms.

4. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or systems.
• Use automated means (bots, scrapers, crawlers) to access or collect data from the Service without our prior written consent.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, decompile, or disassemble any aspect of the Service.
• Resell, redistribute, or sublicense access to the Service or any data obtained through it without our prior written consent.

5. Intellectual Property

The Service and its original content, features, functionality, and design are owned by PP2 Studio sp. z o.o. and are protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

You retain ownership of any data you upload to the Service. By uploading data, you grant us a limited, non-exclusive license to process it solely to provide the Service to you.

6. Data & Analytics

The Service provides market intelligence, analytics, and benchmarking data for the restaurant industry. While we strive for accuracy, all data and insights are provided on an "as-is" basis. You acknowledge that:

• Data may be derived from third-party sources and publicly available information.
• Analytics and benchmarks are estimates and should not be the sole basis for business decisions.
• We do not guarantee the accuracy, completeness, or timeliness of any data provided.

7. Fees & Payment

Access to certain features of the Service may require payment of fees. If applicable:

• Fees are as described on our pricing page or in your subscription agreement.
• All fees are quoted in EUR unless otherwise stated and are exclusive of any applicable taxes (such as VAT), which will be added where required.
• We reserve the right to change fees upon 30 days' notice.
• Failure to pay may result in suspension or termination of access.

8. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Service ceases immediately.
• We may delete your account and associated data after a reasonable retention period.
• Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will survive.

9. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, PP2 Studio sp. z o.o. shall not be liable for any indirect, incidental, special, or consequential damages, or any loss of profits, revenue, data, use, or goodwill, arising from your use of or inability to use the Service. Our total liability for any claim shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits our liability where it cannot be excluded or limited under applicable law, including liability for damage caused intentionally.

11. Indemnification

You agree to indemnify and hold harmless PP2 Studio sp. z o.o. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service or your violation of these Terms.

12. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Poland, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the Polish courts competent for the registered seat of PP2 Studio sp. z o.o.

13. Changes to These Terms

We may revise these Terms at any time by posting the updated version on this page and updating the "Last updated" date. Material changes will be communicated via email or a notice on the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
