1. Agreement to Terms

These Terms & Conditions ("Terms") govern your access to and use of the Superextra website at superextra.ai and the Superextra platform (collectively, the "Service"), operated by Superextra ("we", "our", or "us").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

3. Account Registration

To access certain features, you may need to create an account. You agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain the security and confidentiality of your login credentials.
  • Notify us immediately of any unauthorized use of your account.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

You retain ownership of any data you upload to the Service. By uploading data, you grant us a limited, non-exclusive license to process it solely to provide the Service to you.

6. Data & Analytics

The Service provides market intelligence, analytics, and benchmarking data for the restaurant industry. While we strive for accuracy, all data and insights are provided on an "as-is" basis. You acknowledge that:

  • Data may be derived from third-party sources and publicly available information.
  • Analytics and benchmarks are estimates and should not be the sole basis for business decisions.
  • We do not guarantee the accuracy, completeness, or timeliness of any data provided.

7. Fees & Payment

Access to certain features of the Service may require payment of fees. If applicable:

  • Fees are as described on our pricing page or in your subscription agreement.
  • All fees are quoted in EUR unless otherwise stated and are non-refundable except as required by law or as expressly stated in these Terms.
  • We reserve the right to change fees upon 30 days' notice.
  • Failure to pay may result in suspension or termination of access.

8. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

  • Your right to use the Service ceases immediately.
  • We may delete your account and associated data after a reasonable retention period.
  • Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and dispute resolution) will survive.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPEREXTRA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • YOUR USE OF OR INABILITY TO USE THE SERVICE.
  • ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN.
  • ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Superextra and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service or your violation of these Terms.

12. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Superextra is incorporated, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except where prohibited by law.

13. Changes to These Terms

We may revise these Terms at any time by posting the updated version on this page and updating the "Last updated" date. Material changes will be communicated via email or a notice on the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
